On November 2, 2026, Karyopharm announced a proposed merger with Ayrmid as part of a Chapter 11 restructuring. Karyopharm filed for bankruptcy protection in the Southern District of Texas.
Ayrmid is the lead, or “stalking-horse,” bidder in a court-supervised sale process. The proposed transaction is not final:
competing bids may be submitted, and court approval is required.
Karyopharm says the deal could close in the first quarter of 2027. It has also secured commitments for up to $55 million in financing to support operations during the restructuring.
The proposal follows Ayrmid’s 2025 unsolicited, non-binding offer for bluebird bio:
$4.50 per share upfront plus a contingent payment tied to a sales milestone. Bluebird’s process did not result in an Ayrmid deal; Ayrmid did not submit a proposal in that process.
In short, Ayrmid’s bluebird approach was an unsuccessful acquisition proposal, while the Karyopharm arrangement is a court-supervised restructuring plan that remains open to competing offers.
