Viatris has agreed to acquire Pacira BioSciences for $1.65 billion in cash, offering $36.50 per share—about a 44.8% premium to Pacira’s previous closing price.
The deal brings two established non-opioid pain medicines into Viatris’ portfolio:
EXPAREL for acute postsurgical pain and ZILRETTA for osteoarthritis-related knee pain.
Viatris says the products complement its fast-acting meloxicam opportunity and expects the acquisition to be immediately accretive to its financial guidance metrics. It plans to fund the purchase mainly with excess cash, plus short-term borrowing.
The companies expect the transaction to close by the end of 2026, subject to customary closing conditions, including tender of a majority of Pacira shares and regulatory clearance.
