On October 19, 2026, TriGemX Bio announced a definitive agreement to merge with TCGX Acquisition Corp. and become a publicly traded company. The proposed Nasdaq ticker is TGEM.
The deal is expected to provide about $246 million in gross proceeds—$160 million from a private investment and roughly $86 million in TCGX trust funds, assuming no shareholder redemptions. The combined company is valued at about $600 million post-transaction.
TriGemX plans to use the proceeds to advance elismetrep through Phase 3 trials for acute migraine, prepare an FDA application, study the drug for migraine prevention, and prepare for a possible U.S. launch.
Elismetrep is an investigational oral TRPM8 channel blocker. Its first Phase 3 results are expected in mid-2027; the drug is not approved.
The merger is expected to close in the first quarter of 2027, subject to shareholder approval and customary closing conditions.
