Telix Pharmaceuticals agreed to acquire Germany’s ITM Isotope Technologies Munich for US$1.65 billion upfront, with up to US$700 million in additional milestone payments tied mainly to ITM-11 approvals and sales.
The transaction will be paid largely in Telix shares:
approximately US$1.25 billion in stock, while Telix will assume about US$302 million of ITM net debt. Existing Telix shareholders are expected to own roughly 76.3% of the combined company.
ITM brings a major lutetium-177 manufacturing and distribution network spanning more than 65 countries. The isotope is used in Novartis’s blockbuster radiopharmaceuticals Pluvicto and Lutathera.
The deal also adds ITM-11, a late-stage treatment for neuroendocrine tumors that could compete directly with Novartis’s Lutathera if approved.
William Blair analysts called the transaction “supercritical” and said they were “extremely bullish,” citing vertical integration, greater control over isotope supply, and the ability to move products from development through commercialization.
The combined business is projected to generate more than US$1.3 billion in 2026 revenue and income on an unaudited pro forma basis. Closing is expected by the end of fiscal 2026, subject to shareholder, regulatory, and customary approvals.
The principal risks are execution, dilution from the share issuance, assumed debt, regulatory approval for ITM-11, and competition from Novartis and other radiopharmaceutical companies.
