Sword Health plans to acquire Headspace, according to a Massachusetts regulatory filing concerning a change in control of Headspace’s parent company, OrangeDot.
The transaction is structured as an all-cash deal and is expected to close on September 14, 2026. The official filing does not disclose a purchase price; Axios reported the value could be between $200 million and $300 million.
The deal would combine Sword’s AI-powered virtual-care platform—originally focused on physical therapy—with Headspace’s mental-health, therapy, coaching and wellness services.
Headspace is expected to continue operating substantially as it does now, with no anticipated material changes to clinical access, quality, reimbursement rates or payer mix.
The filing says any workforce reductions would likely be limited to overlapping corporate functions and are not expected to affect clinical services.
The acquisition would expand Sword’s presence in behavioral health and give it a broader platform spanning physical and mental health, particularly for employers and health plans.
