Supernus, Indivior merge to create CNS-focused company and expand BD opportunities

Supernus Pharmaceuticals and Indivior Pharmaceuticals have agreed to merge in an all-stock, tax-free merger of equals, creating a diversified CNS-focused biopharmaceutical company with approximately $2.2 billion in combined annual revenues.

The combined company will be named Supernus, Inc., listed on the Nasdaq under ticker "SUPN", and led by Supernus CEO Jack Khattar as President and CEO, with Indivior’s Tony Kingsley as Board Chair.

The transaction is expected to close in the fourth quarter of 2026, is subject to regulatory and shareholder approvals, and is projected to deliver about $125 million in annual cost synergies and expand business development opportunities in the CNS and neuroscience space.
