Sentivera has launched with backing from ARCH Venture Partners and Population Health Partners, the same firms that founded obesity biotech Metsera.
The new biotech signed a deal with China’s Haisco Pharmaceutical for an undisclosed drug candidate targeting type 2 inflammatory diseases.
Haisco will receive approximately $40 million in cash upfront, nearly $36 million in Sentivera equity, and a 17.5% stake in the company—about $75.9 million in initial consideration.
The agreement could generate up to $1.46 billion in development, regulatory, and commercial milestones, plus tiered royalties, putting its potential value above $1.5 billion.
Sentivera gains worldwide rights outside Greater China; Haisco retains rights in mainland China and will continue development there.
The candidate recently received Chinese IND clearance, allowing clinical development. Haisco says preclinical testing showed anti-inflammatory activity and a favorable safety profile, though the drug’s identity was not disclosed.
The deal reflects a “NewCo” structure:
Haisco receives equity in the startup and shares in its future upside rather than simply licensing the asset outright.
