Oculis Holding AG has signed an asset purchase agreement with Accure Therapeutics to acquire worldwide development and commercial rights to its lead neuroprotective candidate, Privosegtor (ACT-01), on August 10, 2026.
Under the terms, Oculis will pay $3.8 million (CHF 3.1 million) in cash upfront upon the first closing and may issue up to 2,050,000 Oculis ordinary shares, including milestone-based earnout shares, for both Privosegtor and the preclinical neurology candidate ACT-02.
The transaction will terminate Oculis’ existing license agreement with Accure, eliminating associated milestone payments and royalties, while strengthening Oculis’ control and economics over Privosegtor and consolidating its position in neuro-ophthalmology.
Privosegtor, a peptoid small molecule with potential as a first-in-class neuroprotective therapy, is being developed for optic neuropathies such as acute optic neuritis and non-arteritic anterior ischemic optic neuropathy (NAION), and has received FDA Breakthrough Therapy and Orphan Drug designations.
The Privosegtor closing is expected by February 28, 2027, and the ACT-02 closing by March 31, 2027, subject to conditions precedent, with the ACT-02 closing dependent on completion of the Privosegtor transaction.
