Jazz Pharmaceuticals is acquiring private biotech Actio Biosciences for an upfront $820 million, with up to $500 million more in milestones, totaling up to $1.32 billion.
The prize is Actio’s lead asset ABS-1230, a first‑in‑class KCNT1 ion channel inhibitor for KCNT1‑related epilepsy—an ultra‑rare, severe pediatric condition with no approved therapies.
ABS‑1230 has shown meaningful seizure reductions in early trials and is now in a registrational Phase 1b/2a KYRON trial; it holds FDA Fast Track, Rare Pediatric Disease, and Orphan Drug designations.
Around 2,500 patients in the U.S. have KCNT1+ epilepsy, often with dozens to hundreds of seizures per day and severe developmental delays.
As part of the deal, Actio will spin out a new private rare‑neurology company (including a clinical‑stage TRPV4 inhibitor, ABS‑0871, for Charcot‑Marie‑Tooth type 2C) while Jazz takes a minority stake in that spinout.
The acquisition deepens Jazz’s focus on rare epilepsy, following its 2021 $7.2 billion GW Pharma deal, and is expected to close in Q4 2026, funded from Jazz’s cash and existing financing facilities.
