Tango Therapeutics Announces Pricing of $600 Million Upsized Public Offering

Tango Therapeutics, Inc. (Nasdaq:
TNGX), announced the pricing of an underwritten public offering of 18,166,667 shares of its common stock and pre-funded warrants to purchase up to 1,833,395 additional shares.

The offering price of each share of common stock is $30.00, and each pre-funded warrant is priced at $29.999.

The gross proceeds from the offering, before deducting underwriting discounts and commissions and offering-related expenses, are expected to be approximately $600 million, up from the initially announced $500 million target.

All of the shares and pre-funded warrants in the offering are being sold by Tango.

The offering is expected to close on or about June 11, 2026, subject to customary closing conditions, and Tango has granted the underwriters a 30-day option to purchase up to an additional 3,000,009 shares of common stock at the public offering price, less the underwriting discount.

J.P. Morgan, Leerink Partners, Cantor, and Stifel are acting as joint bookrunning managers for the offering, which is being made pursuant to an effective shelf registration statement filed with the U.S. Securities and Exchange Commission (SEC).
