Biogen has agreed to acquire RayThera Inc. in a deal valued up to $1.0 billion, composed of an upfront cash payment and contingent milestone payments tied to future clinical and regulatory achievements.
The acquisition will bring three preclinical anti-inflammatory programs into Biogen’s immunology pipeline, with RayThera’s lead candidate expected to enter Phase 1 clinical development in early Q3 2026.
The transaction is subject to customary closing conditions and regulatory approvals, with completion expected in the third quarter of 2026; Biogen will assume full responsibility for development, manufacturing, and global commercialization of the acquired assets.
