AbbVie's $10.9B Move for Apogee's Long-Acting I&I Drug Candidates

AbbVie will acquire Apogee Therapeutics for $10.9 billion in cash, paying $135.11 per share, representing a roughly 49-50% premium over Apogee's previous closing price. The deal is expected to close in the third quarter of 2026, subject to regulatory and shareholder approvals.

The acquisition is AbbVie's largest in over five years and is designed to significantly bolster its immunology and inflammation (I&I) pipeline, its largest business segment.

Apogee's lead asset, zumilokibart (APG777), is a long-acting, half-life extended monoclonal antibody targeting IL-13, currently in late-stage development for atopic dermatitis (eczema) and being positioned as a potential challenger to Dupixent (dupilumab).

Apogee's pipeline also includes other long-acting I&I candidates, such as APG273, a combination of zumilokibart and an anti-TSLP antibody for asthma, and other combinations and antibodies for respiratory and other inflammatory diseases.
